0. Who We Are

DECIDO is operated by SalesVoice LLC, a Japanese limited liability company located in Tokyo, Japan ("DECIDO", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the DECIDO website and the authenticated DECIDO application (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Service Description

DECIDO is a personal decision-support tool for retail traders. It lets you mark and review your own intentions for the markets you follow — for example, marking an instrument as GO, WAIT, or STOP per timeframe — and keeps a timestamped log of those decisions so that you can review them later. DECIDO also provides convenience links that open the instrument on TradingView (a third-party service we do not own or operate).

The Service is limited to:

• Recording, organizing, and displaying decisions and notes that you input
• Generating and storing a personal timeline of your own state changes
• Providing a dashboard, folders, favorites, and basic UX around your own data
• Processing subscription fees through our payment provider

2. Not Financial Advice

DECIDO does not provide investment, financial, trading, brokerage, tax, or legal advice, and nothing in the Service constitutes a recommendation to buy, sell, or hold any financial instrument. The GO / WAIT / STOP states, memos, and any other content displayed in the Service are inputs you create yourself — DECIDO simply stores and renders them.

The Service explicitly:

• Does not generate trading signals, alerts, or recommendations (the GO / WAIT / STOP labels reflect your own intent, not ours)
• Does not connect to any broker, exchange, or trading API and cannot place, modify, or cancel any order
• Does not guarantee any trading outcome, profit, or performance
• Does not make decisions on your behalf or replace human judgment

Trading and investing involve substantial risk, including the risk of losing more than you initially invested when leverage is involved. You should consult a qualified, licensed professional before making any financial decision. All decisions and actions you take based on, or while using, DECIDO are entirely your own responsibility.

3. Eligibility and Accounts

• You must be at least 18 years old, of legal majority in your jurisdiction, and able to enter into a binding contract.
• You must provide accurate account information (a valid email address, in particular) and keep it up to date.
• You are responsible for keeping your credentials confidential and for all activity that occurs under your account.
• Notify us promptly if you believe your account has been accessed without authorization.

4. Acceptable Use

You agree not to:

• Use the Service in violation of any applicable law or regulation
• Attempt to disrupt, overload, or reverse-engineer the Service or to bypass its security or rate limits
• Resell, sublicense, or commercially redistribute the Service without our written permission
• Use the Service to provide trading or investment advice to other people, or to operate a managed-account or signal-distribution business
• Upload content that is illegal, infringing, abusive, or contains malicious code
• Use the Service in any sanctioned country or in violation of applicable export-control or sanctions laws

5. Subscription, Billing, and Refunds

Merchant of Record

Paid subscriptions are sold and processed by Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record (reseller) for DECIDO. Paddle is responsible for collecting payment, handling sales tax / VAT / GST where applicable, and issuing receipts. The transaction on your statement will reference Paddle. By purchasing a subscription you additionally agree to Paddle's Buyer Terms.

Plans and Fees

• Access to certain features requires a paid subscription. The current plans and prices are shown on our pricing and in-product checkout pages.
• Subscriptions renew automatically at the end of each billing period (monthly or annual, depending on the plan you choose) until you cancel.
• Prices are displayed exclusive of taxes unless stated otherwise; applicable taxes are added at checkout by Paddle.
• We may change pricing or plan features. Material price changes affecting your existing subscription will be communicated by email and will not apply to the current paid period.

Cancellation

You can cancel your subscription at any time from the Billing page inside DECIDO or by contacting us. Cancellation takes effect at the end of the current paid billing period; you continue to have access until that date and you will not be charged again.

Refund Policy

Once a billing period has been paid, fees are non-refundable on a pro-rata basis for unused time. We do, however, honor refund requests in the following situations:

• A refund right granted to you by mandatory consumer-protection law (for example, the EU/UK 14-day right of withdrawal for digital services where it has not been waived);
• Duplicate or incorrect charges, or charges where the Service was substantially unavailable for an extended period;
• Refund requests submitted within 14 days of the initial purchase, where the customer has made limited use of the paid features.

To request a refund, contact us at the email address below or contact Paddle directly. Refunds, when granted, are processed by Paddle to the original payment method.

Free Trials and Promotions

Where we offer a free trial, the trial converts to a paid subscription at the end of the trial period unless you cancel before it ends. The conversion price and trial length are shown at sign-up.

6. Intellectual Property

• DECIDO, including all related software, designs, copy, and branding, is owned by SalesVoice LLC and its licensors.
• Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal use.
• You retain ownership of the content and data you submit to the Service. You grant us a worldwide, non-exclusive, royalty-free license to host, store, and process that content solely to provide the Service to you.
• You may not copy, modify, reverse-engineer, decompile, or redistribute the Service except where applicable law expressly permits.

7. Third-Party Services

DECIDO links out to TradingView and may rely on infrastructure providers such as Paddle, Supabase, and Vercel. We are not responsible for the content, availability, or terms of those third-party services. Your use of a third-party service is governed by that service's own terms and privacy policy.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation, to the maximum extent permitted by law.

We do not warrant that the Service will be error-free, secure, timely, or always available, or that it will meet your requirements.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total aggregate liability arising out of or relating to the Service is limited to the amount you actually paid us for the Service in the twelve (12) months immediately before the event giving rise to the claim, or USD 100, whichever is greater.

We are not liable for:

• Any trading, investment, or financial decisions or outcomes, including any losses, missed gains, or opportunity costs you experience while using or after using the Service
• Indirect, incidental, special, consequential, exemplary, or punitive damages
• Data loss, service interruptions, or technical issues outside our reasonable control
• Acts, omissions, or content of third-party services

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, liability for fraud, gross negligence, or — where required — statutory consumer rights).

10. Indemnification

You agree to indemnify and hold harmless SalesVoice LLC, its affiliates, and its personnel from and against any claims, liabilities, damages, losses, and reasonable expenses (including legal fees) arising out of or related to your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

11. Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms by reference. By using the Service you acknowledge that we will process personal data as described there.

12. Suspension and Termination

• You may stop using the Service and delete your account at any time.
• We may suspend or terminate your access if you breach these Terms, if your use creates a security or legal risk, or if we are required to do so by law.
• We may modify or discontinue the Service (in whole or in part) with reasonable notice, except where shorter notice is required for security or legal reasons. If we discontinue a paid plan that you have already paid for, we will issue a pro-rata refund for the unused portion through Paddle.

13. Governing Law and Disputes

These Terms are governed by the laws of Japan, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the Tokyo District Court (Tokyo, Japan) as the court of first instance, except where mandatory consumer-protection law in your country of residence provides you with the right to bring proceedings in your local courts.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the DECIDO website or by email. The "Last updated" date at the top of this page indicates when these Terms were last revised. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
